Beta Testing Program Terms and Conditions.

Thank you for your interest in participating in our beta testing program for our new digital application AppliPrep. This Agreement governs your access and use of the application in its beta testing phase.

1. Introduction

1.1. This Agreement sets forth the terms and conditions under which you may participate in the Beta Testing program. 1.2. By accessing or using the Application during Beta Testing, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

2. Beta Testing Program

2.1. The Application is under development and may contain errors, bugs, or other problems. 2.2. We are offering the Beta Testing program to gather feedback and identify Issues before a public release. 2.3. Your participation in the Beta Testing program is voluntary. 2.4. We may modify the Beta Testing program, including the features, functionality, and availability of the Application, at any time and for any reason. 2.5. We may terminate your access to the Beta Testing program at any time and for any reason, with or without notice.

3. License Grant

3.1. We grant you a non-exclusive, non-transferable, revocable, limited license to access and use the Application solely for the purpose of Beta Testing. 3.2. You may not copy, modify, decompile, reverse engineer, disassemble, or distribute the Application or any portion thereof.

4. Confidentiality

4.1. The Application, all related documentation, and any information disclosed by Us during Beta Testing is considered confidential. 4.2. You agree to hold all Confidential Information in strict confidence and not disclose it to any third party without our prior written consent. 4.3. This obligation shall survive the termination of this Agreement.

5. Feedback

5.1. You agree to provide Us with feedback on your experience with the Application, including any Issues you encounter. 5.2. You grant Us a non-exclusive, irrevocable, royalty-free license to use your feedback in any way we see fit, including but not limited to improving the Application.

6. Disclaimer

6.1. THE APPLICATION IS PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY. 6.2. THE APPLICATION MAY NOT OPERATE ACCURATELY AND MAY CONTAIN ISSUES. YOU USE THE APPLICATION AT YOUR OWN RISK. 6.3. WE WILL NOT BE LIABLE FOR ANY DAMAGES ARISING OUT OF YOUR USE OF THE APPLICATION, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

7. Term and Termination

7.1. This Agreement will commence upon your access to the Application and will continue until terminated by either party. 7.2. You may terminate this Agreement at any time by ceasing to use the Application. 7.3. We may terminate this Agreement at any time and for any reason, with or without notice.

8. Governing Law

8.1. This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

9. Entire Agreement

9.1. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

10. Waiver

10.1. No waiver by Us of any breach of this Agreement shall constitute a waiver of any other breach.

11. Severability

11.1. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
